Welcome to KEX Karaoke! We are OTT service provider that provides our members with access to video-on-demand programs streamed over the Internet to certain Internet-connected TVs, computers and other devices ("KEX Karaoke ready devices"). Our service also provides recommendations, reviews and other information regarding these programs.

 

The KEX Karaoke service is provided to you by Supermaster Technology Hong Kong Limited (“Supermaster Technology”). These Terms of Use govern your use of our service. As used in these Terms of Use, "KEX Karaoke service", "our service" or "the service" means the service provided by Supermaster Technology for discovering and watching music videos and, including all features and functionalities, website, and user interfaces, as well as all content and software associated with our service.

 

Membership.

Your KEX Karaoke membership shall be either monthly subscription mode or one day pass. Your KEX Karaoke monthly subscription will continue month-to-month until terminated. Unless you cancel your service before your monthly renewal date, you authorize us to charge your next month's service fee to your Payment Method (see "Cancellation" below). On the other hand, you can purchase the one day pass. To use the KEX Karaoke service you must have Internet access and a karaoke ready device, and you must provide us with a current, valid, accepted method of payment, which you may update from time to time ("Payment Method"). You can find specific details regarding your membership with KEX Karaoke by visiting our website and clicking on the "My Account"->”Profile Overview link available at the top of the pages of the KEX Karaoke website.

 

Free Trials.

2.1. Your KEX Karaoke membership may start with a free trial. The free trial period of your account lasts for one month, or as otherwise specified during sign-up and is intended to allow new members and certain former members to try the service. You will be notified during sign-up whether you are eligible for a free trial.

 

2.2. We will bill your Payment Method for your monthly subscription fee at the end of the free trial period unless you cancel your subscription prior to the end of the free trial period. To view the monthly subscription price and end date of your free trial period, visit our website and click the "Profile Overview" link on the "My Account" page. You will not receive a notice from us that your paid subscription has begun.

 

Billing.

3.1. Monthly Subscription Billing Cycle. The subscription fee for our service will be billed on a monthly basis to your Payment Method on the calendar day corresponding to the commencement of your paid subscription. In some cases the timing of your billing may change, for example if your Payment Method has not successfully settled or if your paying subscription began on a day not contained in a given month. Visit our website and click on the "Profile Overview" link on the "My Account" page to see your next payment date.

 

3.2. Monthly Subscription Payment Methods. You can change your Payment Method by visiting our website and clicking on the "Profile Overview" link on the "My Account" page. If a payment is not successfully settled, due to expiration, insufficient funds, or otherwise, and you do not change your Payment Method or cancel your account, we may suspend your access to the service until we have obtained a valid Payment Method. You authorize us to continue billing the Payment Method, as it may be updated and you remain responsible for any uncollected amounts. This may result in a change to your payment billing dates. For certain Payment Methods, the issuer of your Payment Method may charge you a foreign transaction fee or other charges. Check with your Payment Method service provider for details.

 

3.3. Cancellation of Monthly Subscription. You can cancel your KEX Karaoke monthly subscription at any time, and you will continue to use the credits granted via monthly subscription to access to the KEX Karaoke service through the end of your monthly billing period. We do not provide refunds or credits for any partial-month subscription periods, unused credits or unwatched music videos or programs. To cancel, go to the "My Account"->”Cancel Subscription” page and follow the instructions for cancellation. Though you cancel your subscription, you can still access to KEX Karaoke service and rent program by transaction. To see when your monthly subscription will end, click "Cancel Subscription" on the "My Account" page. If you signed up for KEX Karaoke using your account with a third party as a Payment Method and wish to cancel your KEX Karaoke subscription at any time, you may need to do so through such third party or unsubscribing the KEX Karaoke service through that third party. You may also find billing information about your KEX Karaoke subscription by visiting your account with the applicable third party.

 

3.4. Changes to the Price and Service Plans. We may change our service plans and the price of our service from time to time; however, any price changes or changes to our service plans will apply to you no earlier than 30 days following email notice to you.

 

KEX Karaoke Service.

4.1. You must be 18 years of age, or the age of majority in your province, territory or country, to become a member of the KEX Karaoke service. Minors may only use the service under the supervision of an adult.

 

4.2. The KEX Karaoke service and any content viewed through the service are for your personal and non-commercial use only. During your KEX Karaoke membership we grant you a limited, non-exclusive, non-transferable, license to access the KEX Karaoke service and view music videos and programs on a video-on-demand and streaming-only basis. Except for the foregoing limited license, no right, title or interest shall be transferred to you. You agree not to use the service for public performances.

 

4.3. You may view a music video or program through the KEX Karaoke service primarily within the country in which you have established your account and only in geographic locations where we offer our service and have licensed such music video or program. The content that may be available to watch will vary by geographic location and will change from time to time. 

 

4.4. We continually update the KEX Karaoke service, including the content library. In addition, we continually test various aspects of our service, including our website, user interfaces, promotional features and availability of music videos and programs.

 

4.5. you agree to use the KEX Karaoke service, including all features and functionalities associated therewith, in accordance with all applicable laws, rules and regulations, or other restrictions on use of the service or content therein. You agree not to archive, download, reproduce, distribute, modify, display, perform, publish, license, create derivative works from, offer for sale, or use (except as explicitly authorized in these Terms of Use) content and information contained on or obtained from or through the KEX Karaoke service. You also agree not to: circumvent, remove, alter, deactivate, degrade or thwart any of the content protections in the KEX Karaoke service; use any robot, spider, scraper or other automated means to access the KEX Karaoke service; decompile, reverse engineer or disassemble any software or other products or processes accessible through the KEX Karaoke service; insert any code or product or manipulate the content of the KEX Karaoke service in any way; or, use any data mining, data gathering or extraction method. In addition, you agree not to upload, post, e-mail or otherwise send or transmit any material designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment associated with the KEX Karaoke service, including any software viruses or any other computer code, files or programs. We may terminate or restrict your use of our service if you violate these Terms of Use or are engaged in illegal or fraudulent use of the service.

 

4.6. The quality of the display of the streaming music videos and programs may vary from computer to computer, and device to device, and may be affected by a variety of factors, such as your location, the bandwidth available through and/or speed of your Internet connection. The minimum connection speed for SD quality is 1.2 Mbps, the minimum connection speed for HD quality is 4.0 Mbps; however, we recommend a faster connection for improved video quality. HD and Ultra HD availability is subject to your Internet service and device capabilities. Not all content is available in HD or Ultra HD; different prices or credits will be charged to receive SD, HD or Ultra HD content. Default playback settings on cellular networks exclude HD and Ultra HD content. A download speed of at least 4.0 Mbps per stream is recommended to receive HD content, which is defined as 720p or better. You are responsible for all Internet access charges. Please check with your Internet provider for information on possible Internet data usage charges. The time it takes to begin watching a music video or program will vary based on a number of factors, including your location, available bandwidth at the time, the music video or program you have selected and the configuration of your Supermaster Technology ready device.

 

4.7. KEX Karaoke streaming software is developed by, or for, KEX Karaoke and is designed to enable streaming of content from KEX Karaoke through KEX Karaoke ready devices. This software may vary by device and medium, and functionalities may also differ between devices. You acknowledge that the use of the service may require third party software that is subject to third party licenses. You agree that you will automatically receive updated versions of the KEX Karaoke and related third-party software. If your KEX Karaoke ready device is sold, lost or stolen, please deactivate the KEX Karaoke ready device. If you fail to log out or deactivate your device, subsequent users may access the KEX Karaoke service through your account and may be able to access certain of your account information. To deactivate a device, follow the instructions on the "My Account" page.

 

Passwords & Account Access.

5.1. The member who created the KEX Karaoke account and whose Payment Method is charged (the "Account Owner") has access and control over the KEX Karaoke account. To maintain control over the account and to prevent anyone from accessing the account (which would include information on viewing history for the account), the Account Owner should not reveal the password nor the Payment Method details (e.g., last four digits of their credit or debit card, or their email address if they use PayPal) associated with the account to anyone. You are responsible for updating and maintaining the accuracy of the information you provide to us relating to your account.

 

5.2. You should be mindful of any communication requesting that you submit credit card or other account information. Providing your information in response to these types of communications can result in identity theft. Always access your sensitive account information by going directly to the KEX Karaoke website and not through a hyperlink in an email or any other electronic communication, even if it looks official. We can terminate your account or place your account on hold in order to protect you, KEX Karaoke or our partners from identity theft or other fraudulent activity.

 

Governing Law.These Terms of Use shall be governed by and construed in accordance with the laws of the Hong Kong SAR.

Third-Party Applications. You may encounter third party applications (including, without limitation, websites, widgets, software, or other software utilities) ("Applications") that interact with the KEX Karaoke service. Your use of these Applications may be subject to third party terms of use or license terms.

Unsolicited Materials.KEX Karaoke 不接受電影或節目的未徵求的材料或建議，對任何媒體上的任何內容或程式設計與傳輸給 KEX Karaoke 的資料或建議的相似性，KEX Karaoke 概不負責。

Help Center.To find more information about our service and its features or if you need assistance with your account, please visit the KEX Karaoke Help Center on our website. In the event of any conflict between these Terms of Use and information provided by Customer Support or other portions of our website, these Terms of Use will control.

Survival. If any provision or provisions of these Terms of Use shall be held to be invalid, illegal, or unenforceable, the validity, legality and enforceability of the remaining provisions shall remain in full force and effect.

Changes to Terms of Use and Assignment. KEX Karaoke may, from time to time, change these Terms of Use. We will notify you at least 30 days before these new Terms of Use apply to you. We may assign or transfer our agreement with you including our associated rights and obligations at any time and you agree to cooperate with us in connection with such an assignment or transfer.

Electronic Communications. We will send you information relating to your account (e.g. payment authorizations, invoices, changes in password or Payment Method, confirmation messages, notices) in electronic form only, for example via emails to your email address provided during registration.

Warranties and Limitations on Liability.The KEX Karaoke service is provided "as is" and without warranty. In particular, our service may not be uninterrupted or error-free. You waive all special and consequential damages against us, and any direct damages exceeding one month’s subscription fee or one-time rental fee. These terms will not limit any non-waivable warranties or consumer protection rights that you may be entitled to under the laws of your country of residence.
